MEMORANDUM OF UNDERSTANDING (MoU)
FOR
SCIENTIFIC RESEARCH AND CULTURAL COOPERATION
BETWEEN
SOUTHERN MARINE SCIENCE AND ENGINEERING GUANGDONG LABORATORY (GUANGZHOU), P.R.CHINA
AND
UNIVERSITY OF ANTANANARIVO, MADAGASCAR
In line with the development of friendly international cooperation in accordance with our mutual interests in developing programs of scientific research and cultural exchange, and for the purpose of establishing a long-term mutually beneficial collaboration; Southern Marine Science and Engineering Guangdong Laboratory (Guangzhou), China (hereinafter referred to as Party A) and University of Antananarivo, Madagascar (hereinafter referred to as Party B),have reached the following understanding:
Article 1: Aim and Objectives
The Parties agree to exercise their best efforts to develop cooperation in scientific research and cultural disciplines of mutual interest. Cooperation within the framework of this MoU may include the following:
a) Exchange visits for scientists, researchers, technical personnel or other experts;
b) Legal exchange of specimens, derivatives and literatures;
c) Cooperation in marine organism and biodiversity research programs of mutual benefit;
d) Operation of joint training programs for staff and students in order to build collaboration capacities;
e) Promote the declaration and establishment of Belt and Road Joint Laboratory and other scientific research platforms；
f) Other cooperative activities mutually agreed upon on a case-by-case basis.
Both Parties are committed to working together to develop specific agreements on identified projects. These agreements will provide logistical and management details appropriate to the successful operation of the projects. These agreements shall fulfill the spirit and purpose of this general MoU.
Article 2: Material Exchange and Intellectual Property
The parties shall consult and agree with each other before any material and information derived from the cooperation activities under this MoU is transferred to a third party or disclosed for commercial or industrial purposes. Data, information and knowledge emanating from scientific research and cultural activities undertaken under this MoU shall be published or disseminated in other agreed formats through joint authorship of participating staffs. Material and knowledge exchange shall be subjected to applicable laws and regulations of each Party's jurisdictions as well as relevant international regulations and conventions.
Article 3: Funding
The terms of financing shall be agreed upon in writing by the parties before the commencement of activities. The parties agree to cooperate in proposing and seeking additional funding from third parties to foster the goals of the cooperation.
Article 4: Commencement and Term
This MoU shall come into effect after signing by both Parties, and it shall last for five (5) years from the signing date. The MoU may be renewed on expiration if both Parties consider it necessary to continue the cooperation.
Article 5: Amendments, Termination and Force Majeure
This MoU may be amended by mutual agreement of both Parties. Any change in the terms of this MoU shall be by means of a formal written amendment and signed by both Parties.
This MoU may be terminated for any reason prior to the end of the term on six (6) months' written notice.
This MoU may also be terminated for good cause (in exceptional circumstances) on four (4) weeks' notice. The party seeking to terminate shall send notice of its intention to terminate the cooperation, and if the problems have not been cured to the reasonable satisfaction of such party, this MoU shall terminate four (4) weeks after the date of such notice.
In Witness whereof, this MoU has been signed in duplicate by the following duly authorized persons on behalf of Southern Marine Science and Engineering Guangdong Laboratory (Guangzhou), China and, University of Antananarivo, Madagascar.
